RIPPLE, Circuit Judge. Travelers Insurance Companies (Travelers) brought a declaratory judgment action against its insured, Penda Corporation (Penda), to determine its responsibilities under a liability insurance policy. After cross-motions for summary judgment, a magistrate Judge recommended that Travelers be found to have no duty to defend Penda in a suit for breach of contract and breach of warranty brought by Pendas customer, U.S. Sample Company (U.S. Sample). Penda objected to the magistrate Judges recommendation. Nevertheless, the district court held that Travelers had a duty neither to defend Penda nor to indemnify it in the U.S. Sample suit. Penda appeals and, for the following reasons, we reverse in part and vacate in part the judgment of the district court. This case is remanded to the district court for proceedings consistent with this opinion.
